1. Agreement to Terms
These Terms of Use (“Terms”) constitute a legally binding agreement between you, the healthcare provider or entity (“Client,” “you”) and MediCost Transfer Diagnostics (“Meditechlab Diagnostic Laboratories,” “we,” “us”). By accessing our website, using our physician portal, or submitting a specimen for testing, you agree to be bound by these Terms.

2. Provision of Services
Meditechlab Diagnostic Laboratories provides a range of clinical diagnostic testing services as detailed in our service directory. We are committed to providing these services in a professional, timely, and accurate manner, in accordance with all applicable laws and regulations, including CLIA and CAP standards.

3. Client Obligations
As our Client, you agree to the following:

• Professional Qualification: You represent and warrant that you are a licensed healthcare provider or an authorized agent of a licensed healthcare entity, qualified to order and interpret diagnostic tests.
• Patient Consent: You represent and warrant that you have obtained all necessary patient consents required by law to order diagnostic testing and provide us with the patient’s Protected Health Information (PHI) and biological specimens.
• Specimen Submission: You agree to follow all Meditechlab Diagnostic Laboratories protocols for the collection, labeling, and submission of specimens. You acknowledge that test accuracy is dependent on the quality and integrity of the submitted specimen. Meditechlab Diagnostic Laboratories is not liable for errors resulting from improperly collected or mislabeled specimens.
• Test Interpretation: You acknowledge that our diagnostic test reports provide data and pathologist interpretation but do not constitute a medical diagnosis. The final diagnosis and treatment decisions remain the professional responsibility of the treating physician.
• Account Security: You are responsible for maintaining the confidentiality of your physician portal login credentials and for all activities that occur under your account.

4. Billing and Payment
You agree to pay for all services rendered in accordance with the fee schedule provided to you. Payment terms are Net 30 days from the date of the invoice, unless otherwise agreed upon in a separate contract. Overdue accounts may be subject to late fees and collection costs.

5. Intellectual Property
The content on our website and physician portal, including text, graphics, logos, and software, is the property of Meditechlab Diagnostic Laboratories and is protected by copyright and other intellectual property laws. You may not reproduce, distribute, or create derivative works from this content without our express written permission.

6. Disclaimer of Warranties
Meditechlab Diagnostic Laboratories warrants that its services will be performed in accordance with prevailing professional standards. EXCEPT FOR THE FOREGOING, MEDITECHLAB DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

7. Limitation of Liability
IN NO EVENT SHALL MediCost Transfer Diagnostics OR ITS DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO THE USE OF OUR SERVICES. ENGMEDICEL’S TOTAL LIABILITY FOR ANY CLAIM ARISING FROM OUR SERVICES SHALL NOT EXCEED THE AMOUNT PAID FOR THE SPECIFIC SERVICE GIVING RISE TO THE CLAIM.

8. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of Alaska, without regard to its conflict of law principles.
